Welcome to Heisenberg's Legacy Shop - Bangladesh's premier digital marketplace established in 2019. These Terms of Service ("Terms") govern your use of our website, mobile applications, services, and platform (collectively, the "Service") operated by Heisenberg's Legacy Shop, headquartered in Dhaka, Bangladesh ("we," "us," or "our").

By accessing, registering, or using our Service, you agree to be legally bound by these Terms, our Privacy Policy, and all applicable laws of Bangladesh. If you disagree with any part of these terms, you must immediately discontinue use of the Service.

1. Account Terms

When you create an account with us, you must provide accurate, complete, and current information. Failure to do so constitutes a breach of the Terms, which may result in immediate termination of your account on our Service.

You are responsible for safeguarding the password you use to access the Service and for any activities or actions under your password.

You agree not to disclose your password to any third party. You must notify us immediately upon becoming aware of any breach of security or unauthorized use of your account.

2. Seller Verification

To ensure the integrity of our platform, all sellers must undergo a verification process. This may include:

• Identity verification through documentation
• Confirmation of ownership of submitted social media accounts
• Review of account history and content
• Additional security measures as deemed necessary

We reserve the right to reject any seller or submitted account that does not meet our verification criteria or violates these Terms.

3. Account Submission Guidelines

When submitting social media accounts to our platform, you represent and warrant that:

• You are the legitimate owner of the account or have full authority to transfer ownership
• The account does not contain illegal content or violate applicable laws
• The account has not been obtained through hacking, phishing, or other fraudulent means
• The account information provided is accurate and complete
• You will not attempt to regain access to the account after transferring ownership

4. Prohibited Activities

You may not engage in any of the following prohibited activities:

• Violating any applicable laws, regulations, or third-party rights
• Submitting stolen, hacked, or fraudulently obtained accounts
• Attempting to bypass our verification processes
• Creating multiple accounts to circumvent restrictions or limitations
• Using the Service for any illegal purpose or to solicit engagement in illegal activity
• Attempting to gain unauthorized access to our systems or other users' accounts
• Interfering with or disrupting the Service or servers connected to the Service
• Introducing malware, viruses, or other harmful code to the platform

5. Fees and Payments

Our payment structure is based on the type, quality, and value of the social media accounts submitted. All fees and commission rates are transparently displayed before you complete a submission.

Payments will be processed according to our payment terms and schedules as specified in our documentation. We reserve the right to withhold payment if fraud or violation of these Terms is suspected.

6. Account Transfer and Ownership

Upon verification and approval of a submitted account, you agree to:

• Transfer full ownership and control of the account to Heisenberg's Legacy Shop
• Provide all necessary credentials and access information
• Assist with the transfer process as needed
• Not attempt to regain access to the account after transfer
• Immediately notify us of any issues or complications with the transfer process

7. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of Heisenberg's Legacy Shop and its licensors. The Service is protected by copyright, trademark, and other laws of both the United States and foreign countries.

Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Heisenberg's Legacy Shop.

8. Limitation of Liability

In no event shall Heisenberg's Legacy Shop, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses, resulting from:

• Your access to or use of or inability to access or use the Service
• Any conduct or content of any third party on the Service
• Any content obtained from the Service
• Unauthorized access, use, or alteration of your transmissions or content

9. Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

Upon termination, your right to use the Service will immediately cease. If you wish to terminate your account, you may simply discontinue using the Service or contact us to request account deletion.

10. Governing Law & Jurisdiction

These Terms shall be governed and construed in accordance with the laws of the People's Republic of Bangladesh, including but not limited to the ICT Act 2006, Digital Security Act 2018, and Consumer Rights Protection Act 2009. Any disputes arising from these Terms shall be subject to the exclusive jurisdiction of the courts in Dhaka, Bangladesh.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a Bangladesh court, the remaining provisions of these Terms will remain in effect. All legal proceedings shall be conducted in Bengali or English as per Bangladesh legal requirements.

11. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

By continuing to access or use our Service after those revisions become effective, you agree to be bound by the revised terms. If you do not agree to the new terms, please stop using the Service.
